Yes it will fit and it will work fine. The only difference is that there is a 'smartlock' jewel with an LED behind it, series two smartlock EB's had a seperate wire that plugged into this.
I'm assuming by your username that you have an early S-XR6. If you're replacing a six guage cluster with another six gauge cluster then all will be sweet. But if you're installing a six guage cluster into anything less than a Futura then just a few things will have to be added/changed.
Thought i'd add that last part in just to drag it out a bit haha.
